Terms of Use

These Terms of Use (“Terms”) are a legally binding agreement between you and Muyo LLC (“Muyo,” “we,” “us,” or “our”) governing your access to and use of our mobile applications, including without limitation Duoshuo 多说 and Murmur 轻倾 (collectively, the “Apps”) and related services we make available (“Services”). 《使用条款》（「条款」）由你与 Muyo LLC（「Muyo」「我们」或「我们的」）订立，并具有法律约束力，用以规范你对本公司移动应用的访问与使用；其中包括（但不限于）多说 Duoshuo 及 轻倾 Murmur（合称「应用」）以及我们通过其提供的「服务」。为便于阅读，本段中文仅供参考；如对同一表述存在不一致，请以英文为准。

By downloading, installing, accessing, or using any App, you agree to these Terms. If you do not agree, do not use the Apps.

Important for users who obtain our Apps through the Apple App Store: These Terms incorporate the acknowledgments regarding Apple listed in Section 11 below. 若你通过 Apple App Store 下载我们的应用，请注意：本条款包含第 11 节中与 Apple 相关的确认表述。

1. Eligibility

• You represent that you are at least 13 years of age or the minimum age required in your jurisdiction to consent to data processing and to enter into agreements like these Terms.
• If you use Apple Sign In, Google Sign In, or similar, you agree to comply with those providers’ terms as they apply.

2. License to use the Apps

• Subject to these Terms, Muyo grants you a limited, revocable, non-exclusive, non-transferable license to install and use the Apps for your personal, non-commercial purposes on devices that you control.
• You may not copy, modify, distribute, sell, lease, reverse engineer (except as allowed by law), or attempt to extract source code from the Apps except as expressly permitted.

3. Privacy

Our collection, use, and disclosure of personal information are described in our Privacy Policy, which is incorporated into these Terms by reference. In-the-app notices (for example for microphone access, pronunciation scoring, or AI-assisted features) explain how data is used at the time you engage those features. If there is a conflict regarding data practices, the Privacy Policy controls.

4. Accounts

• You are responsible for safeguarding account credentials where applicable.
• You agree to provide accurate information and notify us via the contact in Section 10 if you become aware of unauthorized use.

5. Purchases, subscriptions, and billing (including Apple App Store)

Some Apps may offer in-app purchases, including auto-renewing subscriptions or other digital goods (“Paid Features”).

• Platforms. If you acquire Paid Features through the Apple App Store, payment is processed by Apple Inc. Your purchase may be subject to Apple’s Terms of Use and other App Store terms. Pricing, duration (e.g. monthly/yearly), renewal, and refunds for those transactions are administered by Apple in accordance with its policies unless otherwise required by law.
• Auto‑renewing subscriptions. Where auto-renewal is offered: your subscription renews automatically for the same term until you cancel. Your account will be charged within 24 hours before each period begins at the price you approved unless Apple or applicable law specifies otherwise.
• Manage or cancel. You may manage or cancel subscriptions purchased through Apple in your device’s Settings under your Apple ID > Subscriptions, or as described here: Apple support — subscriptions. We do not control Apple’s billing interface.
• Free trials. If a free trial is offered, any unused portion may be forfeited when you purchase a subscription, as shown at purchase time and in Apple’s purchase flow.
• Changes. We may change prices or subscription offerings with reasonable notice where required; continued use after changes where permitted may constitute acceptance.

6. Advertising and rewards

Where an App presents optional rewarded advertising or promotions, participation is voluntary. Providers of ads may collect data consistent with their own policies as described in our Privacy Policy and Apple’s labeling requirements.

7. AI, speech scoring, and third‑party outputs

• Pronunciation and speech. Certain Apps send audio securely to our servers and trusted providers (such as cloud speech APIs) solely to analyze pronunciation or related language-practice signals, as disclosed in-app and in the Privacy Policy.
• AI-generated dialogue and text. Features that generate instructional or dialogue-style text use third-party AI providers. Outputs may be inaccurate, incomplete, or unsuitable for a given context. AI output is generated for convenience and practice and must not be treated as professional advice (legal, medical, financial, or otherwise).
• Rely at your discretion. You are responsible for how you rely on Apps’ content; we recommend critical review of any generated material.

8. User conduct

You agree not to:

• Violate laws or infringe third-party rights;
• Use the Apps to harass, discriminate, threaten, or disseminate unlawful content;
• Attempt unauthorized access to our Services, credentials, APIs, user data of others, or infrastructure;
• Interfere with or burden the Apps or circumvent usage limits;
• Use any automated means to abuse or scrape Services except where we provide an official mechanism.

We may suspend or terminate access if we reasonably believe you have breached these Terms or created risk.

9. Intellectual property

• The Apps (including visuals, logos, UX, trademarks, compiled code), and curated content we supply, belong to Muyo or licensors and are protected by intellectual property laws.
• Except for your recordings or content supplied by you, you receive no ownership interest beyond the narrow license above.

10. Disclaimers

To the maximum extent permitted by applicable law:

• The Apps and Services are provided “as is” and “as available,” without warranties of any kind unless laws require otherwise.
• We do not warrant uninterrupted, error-free, or secure operation; nor that results from language practice, scoring, or AI features will meet your goals.

11. Limitation of liability

To the maximum extent permitted by law, Muyo and its officers, directors, employees, and affiliates are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or other intangibles. Our aggregate liability arising from these Terms or the Apps is limited to the greater of (a) the amount you paid Muyo for Paid Features in the twelve (12) months before the claim or (b) fifty U.S. dollars (US$50), except where law prohibits such limitations.

12. Apple App Store (end users only)

If you obtained an App from the Apple App Store, you acknowledge and agree that:

• These Terms are between you and Muyo only, not with Apple; Apple has no obligation to furnish support for the App.
• Apple is not responsible for the App or its content, maintenance, or claims relating to failure to conform to a warranty (to the extent Apple offers a warranty, you may notify Apple and Apple may refund the purchase price under its policies; otherwise Apple’s maximum liability is the purchase price).
• Apple is a third-party beneficiary of these Terms solely with respect to your right to use the licensed App, and Apple may enforce these Terms against you.
• You represent that you are not in a U.S.-embargoed country and are not on a prohibited party list.

13. Termination

We may suspend or terminate your access to the Services if you violate these Terms or if we discontinue an App. You may stop using the Apps at any time. Provisions that by nature should survive (including license limitations, disclaimers, liability limits, and governing law) survive termination.

14. General

• Governing law. These Terms are governed by the laws of the United States and the State in which Muyo LLC is organized, without regard to conflict-of-law rules, except where consumer protection laws of your country of residence require otherwise.
• Changes. We may update these Terms; we will post the revised version with a new Effective Date. Continued use after the Effective Date may constitute acceptance where permitted by law.
